The Nominations and Remuneration Committee of the Council of Governors

The Nominations and Remuneration Committee of the Council of Governors are responsible for making recommendations to the Council of Governors on the remuneration, allowances and other terms and conditions of the office of the Chair and all Non-Executive Directors.

It is for the Council of Governors, in general meeting, to determine the remuneration, allowances and other terms and conditions of office of the Chair and the Non-Executive Directors, taking into account the recommendations made to it by the Nominations and Remuneration Committee.  For a copy of the Non-Executive Directors’ Terms and Conditions of Appointment please click here.

It is the responsibility of the Council of Governors’ Nominations and Remuneration Committee to monitor the performance of the Trust Chair and Non-Executive Directors. The Committee may, in appropriate cases, or, if specifically requested by the Council of Governors to do so, report its findings to the Council.

While the appointment of the Trust Chair and other Non-Executive Directors is the responsibility of the Council of Governors, the process of selecting suitable candidates to be recommended for appointment by the Council is delegated to the Nominations and Remuneration Committee.
